“Sono in crisi? Faccio un debito e mi pago i dividendi”

La persistente recessione ha ridotto i mercati incidendo anche sui bilanci delle imprese e delle famiglie. Il costo del denaro vicino allo zero negli Usa e in Europa, tiene bassi i tassi di interesse delle obbligazioni e degli altri titoli. A seguito di ciò, da mesi molti fondi equity (quelli che investono principalmente in azioni), per poter remunerare i “capitali di ventura” che gestiscono, hanno sviluppato un forte appetito al rischio.Stanno rilanciando in grande alcune delle più spericolate operazioni di ingegneria finanziaria.Se le imprese non producono profitti, perché non fare dei debiti e poi utilizzare i soldi incassati per pagare lauti dividendi ai fondi equity- azionisti? Tra queste, una delle alchimie più velenose è il “dividend recap”, cioè la ricapitalizzazione dell’impresa con emissioni di bond, gran parte delle quali destinata a pagare i dividendi. Un’impresa normale e virtuosa di solito raccoglie nuovi capitali sul mercato attraverso il credito bancario, l’emissione di obbligazioni, ecc, per modernizzare i suoi impianti, per investire in ricerca o per far crescere la sua produzione e le vendite. Lo scopo evidente è quello di rendere meglio funzionante e più competitivo il suo sistema produttivo per aumentare la sua fetta di mercato e quindi anche i legittimi profitti. In tal caso chi lavora nell’azienda potrà godere anche di un premio di produttività e gli azionisti potranno ricevere un dividendo in proporzione ai profitti fatti. Il “dividend recap” è invece un modo per “truffare e inquinare” il sistema economico e distribuire profitti mai fatti. Negli Usa, nel solo periodo gennaio-ottobre, sarebbero state fatte circa 70 operazioni di “junk bond” che hanno dato artificialmente origine a oltre 30 miliardi di dollari di dividendi “allegri”. Certi analisti definiscono il 2012 come “l’anno dei dividendi”! La novità è che le imprese che vi hanno partecipato non provengono tutte dai settori speculativi dell’economia. Per esempio, è stata coinvolta la più importante catena ospedaliera privata americana, la Hca Inc., con quasi 300 tra ospedali e centri di chirurgia distribuiti in una ventina di stati. Vi sono poi la Domino’s Pizza, che nei mesi passati ha acceso un nuovo debito per 1,675 miliardi di dollari “garantito” da derivati “asset-backed security”, la Booz Allen, una grande società di consulenza tecnologica, la Homeward Residential, che gestisce ipoteche immobiliari ed altre società. Non è noto a tutti che queste imprese in passato, prima del 2007, furono oggetto di “leverage buyout”, furono cioè acquisite attraverso operazioni di finanza strutturata da alcuni fondi equity aggressivi. Essi, con un capitale di base limitato, usarono una elevata leva finanziaria di creazione di debito per portare a termine le acquisizioni. In altre parole, certi fondi hanno acquistato società senza avere tutte le risorse proprie necessarie ricorrendo ad indebitamente attraverso la sottoscrizione di prodotti finanziari speculativi in derivati. La “scommessa” su cui hanno puntato è stata la convinzione che l’acquisizione stessa avrebbe generato grandi profitti per ripagare anche gli impegni finanziari assunti e i debiti accesi. Ciò spiega, almeno in parte, il meccanismo di creazione dei junk bond emessi per pagare i dividendi. Non a caso sono chiamati titoli spazzatura, in quanto tutti conoscono il loro bassissimo rating. Il quesito che si pone è: perché simili titoli trovano compratori? La risposta è molto semplice: spesso chi compra fa parte della rete di quei fondi equity che riceveranno i dividendi. Di solito per questi bond, dato il loro alto rischio, la società emittente è tenuta ogni anno a mettere a bilancio interessi alti da pagare, non meno dell’8-10%. Quindi per gli speculatori i benefici a breve sono tanti. Si scommette sul rischio di default o sul suo salvataggio grazie agli interventi pubblici. Naturalmente vi sono anche i classici “polli da spennare”, cioè i normali risparmiatori ai quali viene offerto un titolo strutturato ad un tasso di interesse più attraente, nella cui pancia vi sono titoli solidi ma anche una parte di questi junk bond.Ancora una volta quindi siamo di fronte agli stessi comportamenti irresponsabili e non sanzionati che hanno scatenato la grande crisi del 2008. Operazioni di “dividend recap” stanno cercando di prendere piede anche in Europa, anche se, per fortuna, dei maggiori controlli le rendono più difficili. In giro sembra esserci una gran voglia di “sbornia bond” nella speranza che “l’oste” non chieda mai il conto finale ai suoi clienti ubriaconi. Come si vede certi fondi speculativi di private equity si pongono ormai ai margini del sistema finanziario. Sfruttano tutti i mezzi disponibili, le aree grigie e la mancanza di regole stringenti, tanto da diventare macchine di “distruzione economica di massa”. European Social Market Economy

In this time of deep and severe financial, economic and social crisis, in which unemployment and poverty are rising in Europe and austerity programmes aggravate the social consequences for many people, a Dialogue Seminar on European Social Market Economy will take place on Friday, 14 December at the European Commission in Brussels. It is co-organised by the Bureau of European Policy Advisors of the European Commission together with the Church & Society Commission of the Conference of European Churches (CSC/CEC) and the Secretariat of the Commission of the Bishops’ Conferences of the European Community (COMECE).
The Treaty of Lisbon defines “a highly competitive social market economy” (Art. 3.3 TEU) as a goal for the European Union. In its State of the Union 2012 Address, President Barroso highlighted the social market economy several times as the European model of economy and a key principle to overcome the crisis in Europe. The term “social market economy” refers to the German economic model developed after World War II but also to other concepts of welfare state in Europe. Churches feel very much related to this model because it is balancing economic and social challenges, giving policy a high and irreplaceable value as a regulatory institution. At this time of the crisis more than ever, a debate has to be launched to which extend this understanding of economy, policy and society can help to overcome the crisis in Europe.
The Dialogue Seminar will therefore have a view on developments in different European countries to assess the contribution of social market economy and welfare state in facing the crisis. Finally it will discuss the commitment of churches to youth unemployment as an example for the contribution and involvement of civil society and social actors.
Keynote speakers at the Dialogue Seminar are Landesbischof Prof. Dr. Heinrich Bedford-Strohm, Evangelical-Lutheran Church in Bavaria, invited by CSC, Bishop Gianni Ambrosio, Bishop of Piacenza-Bobbio, Italy, Vice-President of COMECE and Olivier Guersent, Head of Cabinet of Commissioner Michel Barnier, Internal Market and Services.
Dialogue Seminars have a longstanding tradition in the cooperation between the European Commission and the Churches in Europe. Since their beginning in the early 1990s, they have proved to be a significant discussion forum for matters of common concern. They represent an important element of the open, transparent and regular dialogue between the European Commission and the Churches in Europe.
The Conference of European Churches (CEC) is a fellowship of some 120 Orthodox, Protestant, Anglican and Old Catholic Churches from all countries of Europe, plus 40 associated organisations. Micron amplia il portafoglio delle Phase Change Memory

Rise of extremist parties and media freedom

MEPs are concerned about the rise of political parties which are openly racist, xenophobic, Islamophobic and anti-Semitic, owing to the economic and social crisis. They therefore call on EU countries to prosecute all forms of violence and hatred against any minority groups,including hate speech. Finally, they deplore the deterioration of media freedom and pluralism in the EU and condemn the obstacles that some journalists face when covering demonstrations.

LGBT people’s rights

A majority of MEPs consider that “LGBT people’s fundamental rights are more likely to be safeguarded if they have access to legal institutions such as cohabitation, registered partnership or marriage”. They also welcome the fact that 16 EU countries offer these options and call on other member states to consider doing so.

MEPs urge member states to address fundamental rights flaws

EU countries must do more to protect fundamental rights, including those of national minorities, LGBT people and migrants, says a resolution adopted by Parliament on Wednesday. The text calls for a continuous assessment of member states’ compliance with basic EU values and the rule of law. It also voices concern over restrictions recently imposed in some member states on reproductive health services such as safe and legal abortion.The resolution on fundamental rights in the EU in 2010 and 2011 was adopted by 308 votes to 229 with 48 abstentions. Before voting on the Civil Liberties Committee resolution, MEPs rejected an alternative text tabled by the EPP group.To maintain the credibility of EU membership conditions, member states’ compliance with EU fundamental values and the rule of law should be continuously assessed, says the resolution. “The implementation of values such as plurality, gender equality and the rule of law is at the core of the EU. It is our duty to protect fundamental rights and values to build up a culture of rights among EU countries and institutions”, explained rapporteur Monika Flašíková Beňová (S&D, SK) in a debate on Tuesday.

Albania: sì al futuro ingresso nell’UE, ma a certe condizioni

Bisogna garantire all’Albania lo status di paese candidato all’ingresso nell’UE senza altri indugi, a patto che il suo governo proceda con delle riforme in ambito giudiziario, della pubblica amministrazione e del funzionamento del Parlamento. È quanto affermano dai deputati in una risoluzione approvata giovedì.I deputati riconoscono che il dialogo politico in Albania è stato un fattore importante per ottenere dei progressi nelle 12 priorità stabilite con l’UE, in particolare sul funzionamento del Parlamento e sulla nomina di un difensore civico. Tuttavia, è stato rilevato che il ruolo di controllo del Parlamento deve essere ulteriormente potenziato. Si accoglie con favore l’impegno della Commissione nel porre lo Stato di diritto al centro delle politiche di allargamento dell’UE. Ciò nonostante, il Parlamento è preoccupato dalla lentezza dei progressi delle riforme giudiziarie in Albania. È necessario che siano parte di un processo irreversibile, perché si giunga all’indipendenza, all’integrità e alla trasparenza della giustizia albanese, libera dalle interferenze della politica e dalla corruzione. Inoltre, i deputati temono che la pubblica amministrazione rischi la politicizzazione e che la lotta contro la corruzione sia inadeguata.
L’alto tasso di disoccupazione in Albania – sebbene in diminuzione – e il numero di albanesi che vivono sotto la soglia della povertà sono tra i temi che preoccupano di più i deputati. Perciò raccomandano al governo balcanico di condurre delle riforme sullo Stato di diritto (la cui debolezza rende difficile il rispetto dei contratti e ostacola gli investimenti) e di approfondire la questione dei diritti di proprietà.

NASDAQ OMX Names Borje E. Ekholm Chairman

Quadrant Ruled to Have Been Correctly Acquired by Aquamit

Amsterdam and Zurich, (PRNewswire) The Swiss Takeover Board (TOB) issued an order today reaffirming the correctness of the public tender offer made by Aquamit B.V. for Quadrant AG in 2009. The TOB confirms in its order that the offer price paid to minority shareholder Sarasin Investmentfonds AG complied with all the relevant legal requirements. Sarasin (which is now part of the Safra Group controlled by Joseph Y. Safra) held 2% of Quadrant’s shares at the time of the public tender offer and is defeated in a long-standing legal dispute lasting over three years. Independent review body also confirm correctness of Quadrant offer price The TOB’s ruling of today is based on an extensive study by Kepler Capital Markets, a further FINMA-approved independent review body. Kepler Capital Markets performed a detailed evaluation of the nature and content of all the ancillary services provided at the Aquamit level at the time of the Quadrant acquisition. After assessing in detail and comparing all such services provided by Aquamit, Quadrant’s management and Mitsubishi Plastics, the review body came to the same conclusion in its report as Deloitte (Switzerland), the first such review body, had in 2009. Based on this, the Swiss Takeover Board (TOB) has confirmed today that the relevant pricing rules under Swiss takeover law were complied with in full. Sarasin Investmentfonds AG has lodged a series of objections and appeals over the past few years with the aim of securing further payments for its former Quadrant holding in addition to the purchase price paid. It has done so despite (like all further minority shareholders) having voluntarily tendered its Quadrant shares for purchase at the time of the takeover offer. The Swiss Takeover Board (TOB) reiterates in its order today that the offer submitted by Aquamit B.V. complied with all the relevant legal requirements. The subsequent complaints and objections have proved extremely costly and time-consuming for both parties, and resulted in a protracted legal dispute over a successful and properly-conducted acquisition. Sarasin Investmentfonds AG, which is domiciled in Basel, Switzerland, has the possibility to appeal the Swiss Takeover Board’s (TOB) order to FINMA within 5 trading days.
Aquamit B.V., which is domiciled in Amsterdam (the Netherlands), owns 100% of Quadrant AG. Aquamit is jointly owned (50% each) by Mitsubishi Plastics Inc. and the founders of Quadrant AG.

Community workers in nation’s capital attend Truth About Drugs seminar at Church of Scientology National Affairs Office

Importance of ecumenical dialogue, reflection and action

The General Secretary of the Conference of European Churches (CEC), Rev. Dr Guy Liagre, and the President of CEC, His Eminence Metropolitan Emmanuel of France, had a meeting with His All Holiness, Bartholomew, Archbishop of Constantinople, New Rome and Ecumenical Patriarch on 3rd December. H.A.H. Bartholomew occupies the First Throne of the Orthodox Christian Church and presides, in a fraternal spirit, among all the Orthodox Primates. As the Ecumenical Patriarch he transcends every national and ethnic group on a global level and today is the spiritual leader of approximately 250 million world-wide. The Ecumenical Patriarchate underlines the important role of theological dialogues and interfaith consultations with Islam-Judaism and ecological symposiums. The Ecumenical Patriarch stated that: “Only through dialogue are we protected from mutual hatred. Dialogue takes place with love, just as blood is for the body. Once blood stops circulating, the body dries out. When dialogue dries, love dies and then wrath and hatred appear. Nevertheless, dialogue takes place in order to revitalise a relationship which was dead, it is able to create a new relationship, and that is a miracle”.The General Secretary of CEC was presented with a copy of a gold medal given on behalf of the American Congress to Ecumenical Patriarch Bartholomew in recognition of his outstanding and enduring contributions toward religious understand and peace. The CEC delegation was also presented with a new handbook for Christian ecological practice; Greening the Orthodox Parish. This book is published by The Orthodox Fellowship of the transfiguration, a pan-Orthodox fellowship proclaiming the ecological mission of the Orthodox Church as the reconciliation of all things in Christ, with a primary focus on relating Christianity to environmental issues in the U.S. and Canada as they also relate to global concerns.Rev. Liagre stated that: “I wish to underline the important role of the Ecumenical Patriarch in the dialogues between all the different faith traditions in Europe and the role played by the Patriarchate in the environmental and peace issues of our day. I would also like to add the importance of common ecumenical reflection and action in the fight against the growing secularisation in Europe. CEC is in a unique place in working together with all our member churches in these most important dialogues.”This visit is part of a continuing series of visits to CEC Member Churches by the General Secretary of CEC.

Dolore cronico, 40% dei pazienti con cure inadeguate

In Italia 13 milioni di persone soffrono di dolore cronico, ma l’impatto della malattia è sottovalutato. Il 41% infatti dichiara di non essere trattato in maniera adeguata. Nonostante l’approvazione nel 2010 della Legge 38 che ci pone all’avanguardia in Europa, la risposta assistenziale in questo ambito è ancora incompleta. Per dare concreta attuazione alla legge e formare il medico di famiglia nasce il progetto Teseo, presentato al 29° Congresso nazionale della Società italiana di medicina generale (Simg) appena conclusosi a Firenze. L’iniziativa, promossa dalla Simg con il sostegno di Angelini, v ede la formazione dei generalisti come momento cruciale per la futura gestione del malato. «La Legge 38/2010 ha rappresentato un passo in avanti decisivo perché ha segnato il passaggio della concezione del dolore non più solo come sintomo ma come malattia» sottolinea Claudio Cricelli, presidente Simg. «Restano però ancora alcune criticità. La gestione del dolore è uno degli aspetti più importanti nella medicina generale. Dobbiamo avere le giuste conoscenze delle terapie per attenuare quanto più possibile le sofferenze del paziente, migliorandone la qualità di vita». In Italia 13 milioni di persone soffrono di dolore cronico (il 21,7% della popolazione), ma l’impatto della malattia è sottovalutato: il 41% dichiara di non essere trattato in maniera adeguata. «Il progetto Teseo» continua Pierangelo Lora Aprile, responsabile dell’area Cure palliative della Simg, «prevede un iniziale intervento formativo su un gruppo nazionale di 22 medici di famiglia con speciale interesse in cure palliative e terapia del dolore, che a loro volta hanno il ruolo di formare oltre 400 colleghi sul territorio. Segue una fase attuativa a livello locale, in cui viene valutato l’impatto dell’attività del medico di famiglia sui percorsi assistenziali e in particolare il miglior riconoscimento dei pazienti da inserire nelle reti di cure palliative e terapia del dolore, previste dalla Legge 38».

From 1 December Northwood Headquarters in Middlesex, nr London, officially becomes host to NATO’s  new Maritime Command. Vice Admiral Christian Canova French Navy, recently appointed Deputy Commander NATO Maritime Command says: “ that this not only represents an extraordinary privilege for the UK which will now host the sole maritime command for NATO, but it fuses together all maritime expertise into one centre of excellence…..We will be NATO’s primary advocate and advisor for the whole Maritime domain.” The change is a result of a larger programme decided at NATO’s 2010 Lisbon Summit aimed at making NATO’s command structure more efficient and effective. Admiral Canova added that “from today we are open for business and while some elements of integration are still underway for a few more months, we are now in a position to provide command, capability design, advice; as well as take the lead for directing a whole range of NATO maritime assets including aircraft, ships and submarines. Indeed, nominally thiscould be as many as 750 ships and 800 thousand men and women.”The overall changes will also help make NATO’s Command structure more affordable. Throughout the whole of NATO positions are being trimmed from 12,000 HQ personnel to around 9,000 and reducing the number of NATO HQs from ten to six, in the largest re-structuring since the end of the Cold War. The new Maritime Command will report directly to Supreme Headquarters Allied Powers Europe (SHAPE) in Brussels.
By the end of March 2013, NATO’s Maritime Command Naples will de-activate but MC Naples’ unique Mediterranean expertise will be preserved. Admiral Canova credits Naples HQ with having a “thorough knowledge of all maritime issues in and around the Mediterranean, and a well developed network in the region”. This includes their vast experience with Operation Active Endeavour, NATO’s Mediterranean counter-terrorism mission. “That network is something we want to continue,” he says. These changes will take place during the next few months however, today the 1 Dec 2012 marks NATOwide transition day when the Maritime Command at Northwood will assume its formal authority. A fourmonth transition period will follow, culminating in the de-activation of MC Naples on 28 March 2013.Northwood’s recent focus has been Operation Ocean Shield, NATO’s mission to counter Somali piracy in
the Indian Ocean. While that remains important, Admiral Canova envisions the new Maritime Command at Northwood as aiming for a more comprehensive view, looking at, “ a wider set of Maritime issues andthreats.” Accordingly, the focus will have to be broadened from the current attention on Operation Ocean Shield.

Mais geneticamente modificato e erbicida nocivi?

E’ nocivo o no il mais geneticamente modificato NK603 e l’erbicida Roundup? Si, per il prof. Gilles-Éric Séralini dell’Istituto di Biologia dell’Universita’ di Caen (Francia), che ha pubblicato uno studio sulla rivista Food an Chemical Toxicology, e ha messo in correlazione gli effetti tossici e oncogeni del mais in questione e dell’erbicida Roundup, su ratti esposti a tali prodotti. Gli effetti negativi potrebbero, quindi, essere trasferibili all’uomo.
No, per l’EFSA, L’Autorità europea per la sicurezza alimentare, la quale ritiene che lo studio presenta gravi vizi di progettazione e metodologia e che non soddisfi standard scientifici accettabili.  No, secondo le organizzazioni scientifiche di 6 stati membri della Unione europea (Belgio, Danimarca, Francia, Germania, Italia e Paesi Bassi) (3).
