VitalSource and Macmillan Learning Team up to Improve Student Access to Course Content

As part of its continued commitment to improving student learning and removing barriers to course materials, VitalSource® today announced a new collaboration with Macmillan Learning that will help simplify courseware integrations and streamline administrative setup for institutions.VitalSource began piloting these new integrations with Macmillan Learning in June, offering students and instructors seamless access to their digital courseware including LaunchPad, Sapling, and Achieve Read & Practice through a single integration powered by VitalSource’s product, Launch, that serves as a gateway between a school’s Learning Management System (LMS) and Macmillan Learning’s materials (books, courseware, other digital content).“The single most important thing we can do to support student success is help ensure students have the essential course materials necessary to learn and excel in the classroom,” said Dr. Michael Hale, Vice President, Education for VitalSource. “At VitalSource, we want to make it as simple as possible for students and faculty to gain immediate access to valuable courseware and learning tools without burdensome access codes and logins. Real Matters Announces Intention to Renew Normal Course Issuer Bid

Real Matters Inc. (“Real Matters” or the “Company”) (TSX: REAL) announced today that, subject to the approval of the Toronto Stock Exchange (“TSX”), the Company intends to renew its Normal Course Issuer Bid for a 12-month period commencing June 11, 2019, and ending June 10, 2020 (the “NCIB”). The Company’s Board of Directors has approved the Company to purchase up to 5,000,000 common shares in its capital (being approximately 8.3% of the 60,233,385 common shares in the public float as at May 24, 2019) for an aggregate purchase price not to exceed US$20 million (being approximately C$27 million). If the NCIB is approved by the TSX, purchases will continue to be made through the facilities of the TSX and alternative Canadian trading systems at the prevailing market price at the time of acquisition. The actual number of common shares purchased by the Company under the NCIB and the timing of such purchases will be determined by the Company.Real Matters’ intention to renew the NCIB reflects the Company’s belief that its common shares continue to be undervalued in relation to the Company’s business and its future business prospects. All common shares purchased under the NCIB will be cancelled. Real Matters’ previously approved NCIB (the “Current NCIB”) commenced on June 11, 2018 and will expire on June 10, 2019, or such earlier date as the Company has acquired 5,000,000 common shares. Since commencement of the Current NCIB, Real Matters has purchased for cancellation 3,970,906 common shares at a weighted average price of C$4.85.

Best’s Market Segment Report: Rated Bermuda, Cayman Islands and Barbados Captives Stay the Course

Persistently strong operating results among A.M. Best-rated captive insurers in Bermuda, the Cayman Islands and Barbados (referred to as BCIB) in 2017 continued to outperform the U.S. commercial market sector, according to a new special report from A.M. Best.The Best’s Market Segment Report, titled, “Rated Bermuda, Cayman Islands and Barbados Captives Stay the Course,” states that in 2017, A.M. Best-rated captives in BCIB bolstered their operating performance with increased risk awareness, loss control, as well as the ability to integrate sound risk management practices.These captives posted profitable financial results in 2017 that were in line with historical averages. Total assets increased by 7.7%, and policyholder surplus increased to almost $10.5 billion, up a healthy 11.4%. Additionally, this sector’s total return on revenue (ROR) for 2017 was 35.3%, up from 27.3% in 2016. Underwriting results declined, but were still well above the results posted by A.M. Best’s composite of U.S. commercial casualty insurers. The captives’ five-year (2013-2017) average combined ratio far exceeded that of their peers in the U.S. commercial casualty segment—by nearly 21 points.
Net premiums earned increased by 1.9% in 2017, and net income improved. Note that premium growth for captive insurers is usually a function of insured exposure growth or a captive’s desire to withdraw or write additional or new risks when the opportunities arise. Two particular areas of interest of late have been cyber liability and medical stop loss insurance. Although these are certainly growth opportunities, most of A.M. Best-rated captives write either limited or no coverage for these risks.
Overall, capital levels are healthy and more than supportive of the risks underwritten. During 2013-2017, these captives added more than $2.9 billion to their capital and surplus, after providing more than $1.0 billion in dividends, which translates into $3.9 billion in savings. Captive insurers remain the beneficiaries of very productive business models and strong loss control and risk management practices, culminating in solid underwriting profits and strong growth in surplus. A.M. Best believes that the captive segment, in general, will continue to outperform the U.S. commercial casualty composite by a healthy margin, by managing the risks it knows better than any commercial insurer and by retaining risks within its risk tolerances.

KEW Receives TSX Approval to Proceed with Normal Course Issuer Bid

KEW MEDIA GROUP INC. (“KEW” or the “Company”) (TSX:KEW and KEW.WT) today announced that the Toronto Stock Exchange (the “TSX”) has accepted the notice filed by the Company to establish a normal course issuer bid (“NCIB”).The NCIB will commence on August 24, 2018 and will terminate on August 23, 2019, or on an earlier date in the event that the number of shares of the Company (the “Shares”) sought in the NCIB has been repurchased or if KEW feels that it is appropriate to do so. Under the NCIB, KEW is authorized to purchase up to 854,282 Shares (out of the 13,678,992 Shares outstanding as of August 17, 2018) representing approximately 10% of the public float as of August 17, 2018, by way of normal course purchases effected through the facilities of the TSX and/or alternative Canadian trading systems.Purchases will be made by KEW in accordance with the requirements of the TSX and the price which KEW will pay for any such Shares will be the market price of any such Shares at the time of acquisition, or such other price as may be permitted by the TSX. For purposes of the TSX rules, a maximum of 4,421 Shares may be purchased by KEW on any one day under the NCIB, except where purchases are made in accordance with the “block purchase exception” of the TSX rules. KEW has established the NCIB because it believes that, from time to time, the market price of the Shares may not fully reflect the underlying value of KEW’s business and future prospects. KEW believes that, at such times, the repurchase of the Shares for cancellation would be in the best interests of shareholders. As KEW is presently exploring a number of potential acquisitions and financings, KEW will not commence purchases under the NCIB at this time. Any Shares purchased pursuant to the NCIB will be cancelled by KEW.

But why do there have to be SOPs and why must we follow them as written? And how can we do this effectively?Most people naturally want to do a good job. Well-written Standard Operating Procedures (SOPs) provide direction, improve communication, reduce training time, and improve work consistency. The purpose of an SOP is to provide detailed instructions on how to carry out a task so that any team member can carry out the task correctly every time. The SOP development process is an excellent way for managers, workers, and technical advisers to cooperate for everyone’s benefit. A very positive sense of teamwork arises when these parties work together toward common goals.Perhaps if everything always executed as planned then we would not need procedures, but this is not the case in the real world. An SOP or Standard Operating Procedure is used to ensure business processes are well thought through, that each task in a process is performed the same way every time, and important data is recorded, along with errors or deviations so corrective action can be taken. Aleksandr Solzhenitsyn’s The Gulag Archipelago, smuggled out of the USSR and published in 1973, shocked the world by describing the vast Soviet system of prison labour. Throughout history, those in power have kept secrets hidden from the public eye. But if it leads to a culture of impunity for crimes committed by the state, secrecy becomes dangerous. A culture of impunity thrives on secrecy, and on complicit media and a passive civil society.  In Turkey, both secrecy and impunity for those defending the state against its enemies at home and abroad were long taken for granted. Attempts to cast light on the activities of groups and institutions referred to as the “deep state” (derin devlet) have invariably failed. Some have even questioned whether the deep state really exists.
