RMB Capital Continues Activist Approach in Japan to Promote Best Practices for Corporate Governance

RMB Capital (“RMB”), an independent investment and advisory firm with approximately $8.8 billion in assets under management,1 announced that the firm has submitted its opposition to a proposal by the Japan Exchange Group Inc.’s (JP 8697) Tokyo Stock Exchange (“TSE”) to split listed companies by market capitalization. RMB believes this proposal will not help the quality of publicly listed companies in Japan. Instead, RMB suggests that the Japan Exchange Group revise listing criteria based on improving corporate governance and protecting minority shareholders.This is the latest in a string of activist proposals that RMB has recently made to Japanese companies aimed at improving corporate governance and shareholder value. The effort has been spearheaded by Masakazu Hosomizu, partner and portfolio manager of RMB’s Japanese investment strategies. Japan recently enacted a new corporate governance structure code as part of Abenomics (Prime Minister Shinzo Abe’s comprehensive economic and social reform movement, which also includes monetary easing and fiscal stimulus), and Hosomizu has persistently pushed Japanese companies to adhere to these reforms, believing that they will help protect shareholders’ capital, as well as promote stability, sustainable growth, and economic prosperity.RMB believes new listing criteria based on the Corporate Governance Code should be added to improve the quality of the listed companies. Specifically, RMB suggests two new mandates for publicly listed companies. First, they should establish nomination and compensation committees. Next, to promote independent guidance, companies should ensure a majority of board members are outsiders. Regardless of the level of a company’s market capitalization, RMB believes many recent corporate scandals could have been prevented if these two mandates had been in place.In addition, RMB proposes that listed subsidiaries and family-owned companies be omitted from the TSE First Section. Publicly listed subsidiaries (where the majority of shares are owned by its parent companies) and family-owned companies (where the majority of shares are owned by founders or management) should be downgraded to the TSE Second Section unless such ownership percentages decrease below one-third of the total outstanding shares after a certain period (such as three years). RMB believes the potential conflict of interest between controlling shareholders and minority shareholders is an imminent corporate governance issue unique to Japan’s stock market, and that revising this listing requirement will alleviate this and raise the quality of the Tokyo stock market significantly.RMB has achieved positive results from its previous shareholder activism in Japan at three other companies, resulting in nomination and compensation committees being added, and the buyback and cancellation of shares. Hosomizu will continue to engage in shareholder actions to uphold corporate governance reform in Japan as the firm believes it is beneficial to investors, including but not limited to issues involving: compensation and nominating committees, reducing executive conflicts of interest, promoting transparency and responsibility in allocation of capital, ensuring outside representation on company boards, and advocating for fair valuation for shareholders in M&A situations.

EU promotes ocean governance at United Nations General Assembly

By adopting these resolutions, the General Assembly calls on the international community to beef up implementation of the United Nations Convention on the Law of the Sea (UNCLOS) and harmonize national legislation with it. It also reaffirms the importance of long-term conservation, management and sustainable use of the living marine resources.Strong ocean governance is a priority for the EU. Most if not all of the problems our ocean is faced with (climate change, pollution, overfishing…) are global by nature. We therefore need a common response from the global community, through international consensus and cooperation. As countries are turning increasingly towards the blue economy to support their development, strong action is more needed than ever.The EU therefore played an active role negotiating both resolutions. It underlined the importance of the United Nations Convention on the Law of the Sea as the overarching legal framework for ocean governance and its continuing contribution to rule of law, peaceful relations and sustainable development. The EU also welcomed the good progress achieved in the negotiations of the new UNCLOS implementing agreement for areas beyond national jurisdiction (BBNJ), better known as the ‘high seas’.
The EU also reiterated its strong commitment to conclude negotiations on fisheries subsidies in the context of the World Trade Organisation. It emphasized that harmful subsidies, which contributed to overfishing, overcapacity and illegal, unreported and unregulated (IUU) fishing are a major impediment to the achievement of sustainable fisheries.

Courageous cleric divides painting, promotes unity

iranIn recent years, individuals and groups from within and outside of Iran have raised the call for justice, human rights, and a culture of inclusion in the country. Though more and more voices are joining this chorus, it is still rare to see any vocal support from among Iran’s ecclesiastical class. On occasions when a clerical figures in Iran does speak out in support of the rights of citizens and minorities, it can inspire hope in countless hearts.Against this backdrop, Ayatollah Abdol-Hamid Masoumi-Tehrani, a high-ranking religious cleric in Iran who is also a calligrapher and artist, has stood out for his public dedication to unity. His contributions to social harmony in Iran have drawn attention and acclaim in many parts of the world.Recently Ayatollah Tehrani has painted a new work which he has divided into eight parts corresponding with eight religious groups in the country. He has dedicated parts of the painting to Zoroastrians, Jews, Christians, Mandaeans, Yarsanians, Baha’is, and Sunni and Shia Muslims in the country, all of whom he considers “essential aspects of Iran’s national culture as well as the entire region’s spiritual and religious reservoir.””Our national identity would be incomplete without each one of them,” he writes in a statement on his website.The dividing of his painting symbolizes the fragmentation of the various populations that constitute Iran’s citizenry-a fragmentation he attributes to religious fanaticism and claims of privileged access to truth. Explaining the symbolism of dividing his painting, he states: “As the body politic of human society would suffer because of estrangements and separations, likewise each section of this piece would be incomplete if it remains unaccompanied by the other sections. This piece is only complete when all the parts are put together. ” In the past, Ayatollah Tehrani has made other gestures of reconciliation and brotherhood toward religious minorities. In April 2014, for example, he gifted a calligraphic rendering of a sacred verse from the Baha’i writings to the Baha’is of the world. His action at once acknowledged the persecution of Iran’s largest religious minority and expressed a wish that the Baha’is of Iran should be allowed their rightful place beside their fellow citizens, working for the prosperity and happiness of their country.

Ninoska “Nina” Fabbri of ISG International will also be attending. Fabbri is a member of the Greater Miami AREAA Board and the AREAA International Committee. AREAA is partnering with China Real Estate Association (CREA) to highlight the cities that are reshaping the Chinese economy and creating significant new wealth and business opportunities for real estate professionals.
China, the world’s most populous country, is one of the fastest growing segments of South Florida foreign buyers. The Asian country’s interest should only increase due to Miami’s world-famous lifestyle, top-tier colleges and universities, expansive designer-brand shopping, diversified economy, sunny weather, clean air, walkable districts, and secure investments.“Miami’s clean air, excellent schools and universities, development and world-class healthcare are attracting more Chinese residents and investment,” Kinney said. “South Florida has long been the top destination in the U.S. for international home buyers, and we believe China will definitely increase Miami real estate sales to foreign buyers.” China is one of the fastest growing segments of South Florida international buyers, according to a 2014 survey conducted by the National Association of Realtors (NAR) for MIAMI. That’s a 50 percent increase from 2012 and 2011 when China comprised 1 percent of transactions.According to the 2015 Profile of International Home Buyers in Florida conducted by NAR, Miami-Miami Beach was the top Florida destination for Chinese buyers. About 42 percent of Chinese consumers purchasing property in Florida bought in Miami-Miami Beach. Bradenton-Sarasota-Venice was the second-most popular Sunshine State destination at 27 percent.In 2015, Chinese consumers had an average Florida purchase price of $1.065 million, the highest among all international home buyers, according to the 2015 Profile of International Home Buyers in Florida. All foreign buyers had an average purchase price of $538,600 in Florida, higher than the $258,200 mean home price for domestic clients.Nationally, Chinese buyers have surpassed Canadians as the most dominant foreign home purchasers, according to the National Association of REALTORS® 2015 Profile of Home Buying Activity of International Clients. Chinese buyers comprised 16 percent of international buyers who purchased single-family homes and condos in the 12-month period ending in March, up from 12 percent in 2013.

EU promotes aquaculture at Green Week in Berlin

berlinoDid you know that aquaculture products make up a quarter of seafood consumed in the EU? Or that the EU is the 8th largest aquaculture producer in the world – even if its share is only 1.53%?
If not, you’re not alone: many people in Europe know very little about aquaculture. The European Commission is trying to change this. An important step: bringing aquaculture into schools to raise awareness among children and teenagers, Europe’s future consumers of fish and seafood.
The Commission has developed a handy school kit for teachers, providing material to raise awareness of aquaculture among schoolchildren aged 12 to 18. The booklet contains information on how to integrate aquaculture into lessons and encourage pupils to learn more about aquaculture in their community. Pupils are encouraged to meet a local fish farmer or researcher and develop a project showing what they have learnt: in videos, cookbooks, experiments, webpages…
On Monday, 18 January, the Commission organised an event at the International Green Week in Berlin to promote this booklet, part of the Commission’s “Farmed in the EU” aquaculture campaign, among German aquaculture stakeholders and educators.
Two German schools took part in testing the school kit in 2015 and used the event to share their – largely positive – experiences. In addition participants learned about aquaculture in Germany and the EU, and about future areas of research.
Both educators and aquaculture experts proved enthusiastic about using the “Farmed in the EU” school kit to introduce young people to aquaculture. But they also agreed that more needed to be done to encourage networking between the education and aquaculture communities and to match schools with aquaculture experts from the region. Gaining further support from both sides will be crucial to disseminate the school kit across Europe and make sure a maximum of schools benefit.
Visitors at the International Green Week still have the chance to find out more about the “Farmed in the EU” campaign, the school kit and European aquaculture in general at the European Commission stand themed “From Farm to Fork” in the ErlebnisBauernhof Hall (Hall 3.2.). There, they can not only learn about European agriculture and food safety, but also about fish farming, how it benefits the environment and human health, and how it contributes to a sustainable supply of fisheries products in the EU. Promote Successful Integration of Migrants

New York, Washington, D.C. The National League of Cities (NLC), the United Nations Alliance of Civilizations (UNAOC) and the International Organization for Migration (IOM), are partnering to promote the cohesive integration and successful civic engagement of migrants. The successful integration of migrants ensures a more stable community and reduces crime and poverty, while maximizing the social and economic contribution migrant communities make to the life of the city. Through NLC’s Municipal Action for Immigrant Integration (MAII) program and the UNAOC and the IOM’s Community on Migration and Integration: Building Inclusive Societies program (IBIS), the organizations will promote the exchange of ideas and best practices and combine outreach efforts to local elected officials and other city staff about the benefits of migrant integration.  Additionally, the partnership will identify and promote good practices of migrant integration within local governments and disseminate international case studies and promote international and inter-city exchanges. “The integration of immigrants in US cities is an example of how urban spaces enable people of different cultures to interact and learn to live together. At the UNAOC, we encourage local governments to be more active on integration issues, and advocate that local know-how feeds into effective policy making at a national level. In this field, NLC has many great examples to bring to the rest of our IBIS community,” said UNAOC Director Marc Scheuer. The National League of Cities is the nation’s oldest and largest organization devoted to strengthening and promoting cities as centers of opportunity, leadership and governance. NLC is a resource and advocate for 19,000 cities, towns and villages, representing more than 218 million Americans. The UN Alliance of Civilization (UNAOC) was established in 2005, at the initiative of the Governments of Spain and Turkey, under the auspices of the United Nations. UNAOC is an initiative of the UN Secretary-General which aims to improve understanding and cooperative relations among nations and peoples across cultures and religions, and to help counter the forces that fuel polarization and extremism. The agriculture of Europe

The European Union should reorganise agricultural subsidy policy and significantly reduce the total percentage of subsidies for agriculture. It should monitor the effective use of subsidies and support the production of goods that are in demand. Those producers phasing out agricultural  activity due to reduced subsidies deserve temporary support, intended to aid the continuous development of rural areas. The EU should ensure that the same farm subsidies apply in all member states. Information and consultancy should be made accessible to farmers and these should also be involved in the programming and monitoring of funds which are intended for them. The EU should ensure that agriculture does not have adverse effects on health and environment and promote food self-sufficiency. This would include the promotion of sustainable agricultural practices such as organic farming, local food production, reduced fertiliser and  pesticide use. GMOs should be banned except for medicinal purposes.

Message to G8 Leaders From CBC Africa Business Forum

Almost 400 representatives from business and government have attended the Forum and last night’s CBC African Business Awards – a demonstration of the continuing strong interest of business in Africa. We were privileged to be addressed by HE Paul Kagame, President of Rwanda, to receive a message from HE Mohammed Hosni Mubarak, President of the Arab Republic of Egypt.  Ministers from Mozambique, Mauritius, Namibia, Nigeria, the UK and Zimbabwe addressed us as well as more than 40 business leaders from Africa, the US and Europe. Reshaping the global economy is a shared task, and meeting the serious short and medium term challenges in Africa resulting from the global downturn can only be successful if tackled together.  Thus one of the purposes of this Forum is to contribute to international actions which promote sustainable growth at a global level, and encourage actions by the G8 and others to enable Africa to meet its own development needs and play its rightful part in the global economy.
The Africa Business Forum was established in 2005 to engage the private sector in supporting the G8 commitments made at Gleneagles.  I am writing to you and through you to your G8 colleagues, to set out the principal recommendations emerging from the 2009 Forum held in London 6-7 July, which was attended by 400 African and international business leaders.Africa has made huge strides in economic performance and good governance.  Growth has been steady around 5%, and many more economic actors, especially from Asia have become engaged.  There are 80 million more middle class Africans than in the 1990s.This progress is under threat. The collapse of international capital markets and the recession in major economies have halved growth in Sub-Saharan Africa.  Combined with falling national income from commodity prices and remittances, and the increasing cost of food and energy,  this will seriously retard progress towards the Millennium Development Goals (MDGs), pushing tens of millions more Africans below the poverty line. We believe that entrepreneurship and the private sector are the only sustainable drivers of growth in Africa and emerging markets.  To continue to harness this energy, however, the G8 and other major economies must take a lead in tackling the immediate effects of the crisis, stabilizing financial flows and regenerating trade.  As business leaders from developed and developing countries, we call on the G8 to actively promote enterprise by supporting African governments to create the best possible conditions for business and investment – improving infrastructure, building human capacity and tackling deadly diseases and undernutrition that sap productivity.  For this aid remains critical and we call on the G8 to live up to its Official Development Assistance (ODA) commitments in order to reduce global poverty and achieve the Millennium Development Goals.   An important objective is to fully engage African and emerging market companies in the Call to Action, and make the MDG process more inclusive.  20 companies joined the Call to Action at this Forum and we call on other companies from Africa, Asia and the Americas to join.  A good opportunity to promote this will be the forthcoming Commonwealth and the Americas Business Forum in conjunction with the Commonwealth Heads of Government meeting in Trinidad & Tobago in November this year.  In conclusion, I should like on behalf of CBC to thank the speakers, you the participants, and the Forum sponsors: BHP Billiton, Diamond Bank, Rio Tinto, UBA, as well as the UK Department for International Development (DFID).  The support of the many speakers in planning and convening these sessions was indispensible, and I thank you all.
